Capital Agents is a boutique UK advisory firm supporting or representing stakeholders facing difficult situations with their capital investments.
The firm offers a range of services to assist clients, covering Disputes Resolution, Insolvency, and Business Turnaround.
The firm was launched by the team that successfully litigated the UK’s first hostile corporate restructuring led by a junior creditor of the target company.
The team achieved a complete restructuring of the target company, removing the entire board of directors, installing new management, wiping out and replacing the previous shareholders with new investors, overhauling the debt structure, and rewriting the articles of incorporation. They successfully overcame the opposition and obstruction of hostile shareholders, hostile directors, hostile institutional creditors, and even hostile insolvency administrators. All of this in the context of over-arching complex multi-party disputes involving conflicts of interests and close regulatory scrutiny.
The case was the first of its kind and set new legal precedent in the UK across nearly 40 years of existing corporate restructuring case law. More details about the case can be found in the Success Stories.
The litigation was the ultimate resolution for long-running problems and disputes faced by the supplier-creditor which involved multiple breaches of obligations by the directors of the target company and attempts to prejudice the contractual rights and expropriate the investments of the creditor.
Throughout the process the team was facing the continued frustration caused by the rigidity of the insolvency industry and the hesitance of how solicitors tend to operate in situations of uncertainty.
The experience validated the ability of the team of managers to devise a bold and innovative problem solving approach in a previously unfamiliar setting, and to carefully execute it. All of this while navigating the unexpected pitfalls and the scepticism of a slate of naysayers, including professional advisers. In essence it showed the capability to take on complex problems and act as a versatile fixer for a stakeholder who’s capital interests are under threat. Hence the name Capital Agents for the firm.
The founders of Capital Agents are executive managers and consultants with a strong structured, analytical, and problem-solving focus.
